These Services are provided by Everyday Digital Solutions (operating as Open Humana), an IT company based in India. By using our platform you are entering into an agreement with Everyday Digital Solutions.
Acceptance of Terms
By accessing or using Everyday Digital Solutions' Open Humana platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all users, including employers who hire Digital Employees through our platform.
We reserve the right to update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
Description of Service
Everyday Digital Solutions (operating as Open Humana) provides a Digital Employee Agency platform that offers AI-powered digital employees ("Digital Employees") for outbound sales, automated dialing, personalized voicemail drops, live call transfers, and related communication services. Our flagship Digital Employee, "Alex," performs business development representative (BDR) functions on behalf of your organization.
The Services include but are not limited to:
- Automated campaign dialing (sequential and simultaneous modes)
- AI-generated personalized voicemail drops
- Live call detection and transfer
- Call transcription and analytics
- Contact list management and DNC compliance tools
User Accounts
To access the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to:
- Provide truthful and accurate registration information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized use of your account
- Not share your account with third parties without prior written consent
- Accept responsibility for all activities conducted through your account
Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:
- Use the Services for any unlawful, harassing, abusive, or fraudulent purpose
- Violate any applicable local, state, national, or international law, including the Telephone Consumer Protection Act (TCPA)
- Contact individuals who have not provided appropriate consent
- Transmit any material that is defamatory, obscene, or otherwise objectionable
- Attempt to reverse-engineer, decompile, or disassemble any part of the platform
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to other users' accounts or data
- Fail to maintain and regularly update your Do Not Call lists
Payment Terms
Everyday Digital Solutions (operating as Open Humana) operates on a salary-based pricing model for Digital Employees:
- Monthly Salary: Each Digital Employee requires a flat monthly salary payment, billed at the beginning of each billing cycle.
- Usage Fees: Additional pay-as-you-go charges apply for telephony usage (per-minute rates for calls, per-message rates for SMS), AI voice generation, and other metered services.
- Billing: All charges are billed to the payment method on file. You are responsible for keeping your payment information current.
- Refunds: Monthly salary payments are non-refundable. Usage fees are non-refundable once consumed.
- Late Payment: Accounts with overdue payments may have Services suspended until the balance is resolved.
Intellectual Property
All content, features, and functionality of the Open Humana platform — including but not limited to software, text, graphics, logos, icons, audio, video, and data compilations — are the exclusive property of Everyday Digital Solutions (operating as Open Humana) and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of all data you upload to the platform, including contact lists, custom voicemail scripts, and campaign configurations. You grant Everyday Digital Solutions a limited license to use this data solely for the purpose of providing the Services.
Limitation of Liability
To the maximum extent permitted by law, Everyday Digital Solutions (operating as Open Humana) and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.
Everyday Digital Solutions' total liability for any claim arising from or related to these Terms or the Services shall not exceed the amount you paid to Open Humana in the twelve (12) months preceding the claim.
Everyday Digital Solutions is not responsible for any penalties, fines, or legal actions resulting from your failure to comply with applicable telecommunications laws, including the TCPA.
Termination
Either party may terminate this agreement at any time with written notice. You may terminate your account by contacting our support team or through your account settings. Everyday Digital Solutions may terminate your account if you violate these Terms, engage in fraudulent activity, or use the Services in a manner that could harm Everyday Digital Solutions, the Open Humana platform, or other users.
Upon termination:
- Your access to the Services will be immediately revoked
- Any outstanding usage fees will be charged to your payment method
- Your data will be returned to you upon request or retained for 90 days, after which it will be permanently deleted
- No refund will be issued for the current billing period's salary payment
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
